IMPORTANT NOTICE: TRACER is a linguistic analysis tool that evaluates deception likelihood in written statements. It is designed solely as a decision-support system. TRACER does not determine guilt, innocence, legal culpability, or any definitive factual conclusion. All outputs generated by TRACER must be independently reviewed, interpreted, and validated by the User before any action is taken based on such outputs. By accessing or using the Service, you acknowledge and agree to these Terms of Service in their entirety.

1. Definitions

As used in these Terms of Service (“Terms”), the following definitions apply:

  • “Company,” “we,” “us,” or “our” refers to Deception TRACER LLC, a limited liability company organized under the laws of the State of Michigan.
  • “Service” or “TRACER” refers to the TRACER (Truth Revealed AI Comprehensive Evaluation & Reporting) platform, including the website located at deceptiontracer.com and any subdomains, the AI-powered linguistic analysis engine, all associated tools, features, reports, and documentation made available by the Company.
  • “User,” “you,” or “your” refers to the organization, entity, or authorized representative thereof that accesses or uses the Service. The Service is intended for enterprise and organizational use only.
  • “Authorized User” refers to any individual who is granted access to the Service under a User's account and organizational authority.
  • “Input” or “Input Data” refers to any transcript, statement, case metadata, baseline information, known truths, known lies, evidence, or other data submitted to the Service by a User for analysis.
  • “Output” refers to any report, analysis, assessment, score, visualization, follow-up questions, or other content generated by the Service based on User Input.
  • “Subscription Plan” refers to the recurring payment arrangement (monthly or annual) granting access to the Service.
  • “Per-Case Analysis” refers to the single-use payment option for individual transcript analyses.
  • “Third-Party AI Provider” refers to Anthropic, PBC, the provider of the Claude large language model that powers the Service's analytical engine.

2. Acceptance of Terms

By accessing, browsing, or using the Service in any manner, you represent and warrant that you have the legal authority to bind the organization or entity on whose behalf you are acting and that you accept these Terms on behalf of such organization or entity. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Your continued use of the Service after any such modifications constitutes your acceptance of the revised Terms. If a modification materially reduces your rights, we will make reasonable efforts to notify you via the email address associated with your account.

3. Nature of the Service

3.1 Decision-Support Tool Only

TRACER is a linguistic analysis platform that evaluates deception likelihood in written statements and interview transcripts. The Service analyzes text for linguistic indicators associated with deception using proprietary analytical methodologies and artificial intelligence. TRACER is designed and intended solely as a decision-support tool. It provides analytical observations, not conclusions of fact.

3.2 No Determination of Guilt or Innocence

TRACER does not and cannot determine guilt, innocence, legal culpability, criminal liability, civil liability, employment fitness, character, truthfulness, or any other definitive factual or legal conclusion. All Outputs represent assessments of linguistic patterns only and must be interpreted within the broader context of each investigation, proceeding, or evaluation by qualified professionals exercising independent judgment.

3.3 Human Review Required

All Outputs generated by the Service are intended to be reviewed, scrutinized for accuracy, and independently validated by the User before any decision, action, recommendation, or conclusion is made based on such Outputs. The User is solely responsible for determining the weight, relevance, and applicability of any Output in the context of the User's specific use case.

3.4 No Professional Advice

The Service does not constitute legal advice, psychological diagnosis, medical advice, forensic evidence, or expert testimony. The Service is not a substitute for the professional judgment of trained investigators, attorneys, human resources professionals, psychologists, or other qualified practitioners.

4. Artificial Intelligence Technology Disclosure

4.1 Third-Party AI Infrastructure

The Service utilizes artificial intelligence technology provided by Anthropic, PBC (the “Third-Party AI Provider”), specifically the Claude large language model, as a core component of its analytical engine. By using the Service, you acknowledge that your Input Data is processed through this third-party AI system in accordance with Anthropic's applicable usage policies and terms of service.

4.2 Inherent Limitations of AI

You acknowledge and understand that:

  • Artificial intelligence systems, including the technology underlying TRACER, may produce outputs that are inaccurate, incomplete, inconsistent, or contextually inappropriate.
  • AI systems may interpret linguistic patterns differently across languages, dialects, cultural contexts, neurodivergent communication styles, and individual speech patterns.
  • The analytical models powering the Service may be updated, modified, or changed by the Third-Party AI Provider without prior notice to the Company or the User, which may affect Output quality or consistency.
  • No AI-based analytical system can guarantee accuracy, and TRACER's Outputs should never be treated as infallible or conclusive.

4.3 Third-Party Terms

The Third-Party AI Provider's terms of service, acceptable use policies, and privacy practices apply to the processing of data through their systems. The Company is not responsible for any changes to, outages of, or limitations imposed by the Third-Party AI Provider's services.

5. Accounts and Access

5.1 Enterprise Use

The Service is designed for use by organizations, agencies, and entities (“Enterprise Users”). Individual consumer use is not the intended use case for the Service. By creating an account, you represent that you are acting on behalf of an organization with a legitimate professional need for linguistic analysis services.

5.2 Account Registration

To access the Service, you must create an account and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5.3 Authorized Users

You are responsible for ensuring that all Authorized Users under your account comply with these Terms. You are liable for any acts or omissions of your Authorized Users that would constitute a breach of these Terms if performed by you.

5.4 Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you are in violation of these Terms, are using the Service in a manner that is harmful to other users or the Company, or for any other reason at our sole discretion, with or without notice.

6. Permitted and Prohibited Uses

6.1 Permitted Uses

The Service may be used for lawful purposes, including but not limited to:

  • Law enforcement investigation support, including pre-trial interview analysis and investigative lead generation.
  • Human resources integrity screening and internal workplace investigations.
  • Corporate compliance and internal security assessments.
  • Consumer integrity verification services.
  • Research and training purposes within accredited institutions.

6.2 Prohibited Uses

You may not use the Service to:

  • Make any final determination of guilt, innocence, criminal liability, or legal culpability based solely on TRACER Outputs.
  • Make any employment, termination, promotion, or disciplinary decision based solely on TRACER Outputs without independent human review and additional corroborating information.
  • Harass, stalk, intimidate, defame, or discriminate against any individual.
  • Violate any applicable federal, state, local, or international law, regulation, or ordinance.
  • Submit Input Data that you do not have the legal right or authorization to process.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, proprietary methodologies, or analytical framework of the Service.
  • Resell, sublicense, redistribute, or otherwise commercially exploit the Service or any Outputs without prior written authorization from the Company.
  • Introduce malicious code, viruses, or any harmful material to the Service.
  • Circumvent, disable, or interfere with any security, access control, or technical protection measures of the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service's infrastructure.
  • Use the Service to train, develop, or improve any competing product or service, including any machine learning model or artificial intelligence system.

7. Payment Terms

7.1 Payment Options

The Service is offered under two payment structures: Subscription Plans (monthly or annual recurring subscriptions) and Per-Case Analysis (individual one-time payments for single transcript analyses).

7.2 Pricing and Billing

Current pricing is displayed on the Service's website. We reserve the right to change pricing at any time. For Subscription Plans, price changes will take effect at the start of the next billing cycle following notice of the change. All fees are quoted and payable in United States Dollars (USD).

7.3 Refunds

Per-Case Analysis fees are non-refundable once analysis has commenced. Subscription Plan refunds, if any, will be handled on a case-by-case basis at the Company's sole discretion. If the Service is materially unavailable for an extended period due to circumstances within the Company's control, the Company will provide a pro-rata credit for the affected period.

7.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, and duties imposed by taxing authorities in connection with your use of the Service, excluding taxes based on the Company's net income.

8. Data Handling and Privacy

8.1 No Collection of Personal Data

The Company does not collect, store, sell, or share personal data about Users or the subjects of analyzed transcripts for any purpose beyond providing the Service. We do not engage in data mining, profiling, or behavioral tracking of Users.

8.2 Input Data

The Company does not permanently store original Input Data (transcripts, statements, or source documents). Input Data is processed through the Service's analytical pipeline and is not retained by the Company after processing is complete.

8.3 Generated Reports

Generated Outputs are stored temporarily on the Company's servers for a retention period chosen by the User. Users have the ability to immediately and permanently delete any generated Output at any time. Once deleted by the User, the Output is permanently removed from the Company's systems.

8.4 No Data Sales

The Company does not sell, lease, rent, trade, or otherwise transfer any User data, Input Data, or Output to any third party for any purpose. The Company does not monetize User data in any form.

8.5 Security

The Company implements commercially reasonable technical and organizational security measures to protect data during processing and temporary storage. However, no method of electronic transmission or storage is completely secure, and the Company cannot guarantee absolute security.

8.6 User Responsibility for Data Security

The User acknowledges and accepts sole responsibility for the security of any Output that the User chooses to retain, download, export, or store outside the Service. The Company is not responsible for any data breach, unauthorized access, or data loss that occurs with respect to Outputs the User has retained or exported.

8.7 Third-Party Processing

Input Data is transmitted to Anthropic, PBC for processing. Users should review Anthropic's privacy policy for information about how data is processed through their systems. The Company selects third-party providers that maintain commercially reasonable data protection standards but is not responsible for the data handling practices of third parties.

9. Intellectual Property

9.1 Company Intellectual Property

The Service, including its proprietary analytical methodology, algorithms, scoring frameworks, user interface, documentation, branding, and all associated intellectual property, is and remains the exclusive property of Deception TRACER LLC.

9.2 User Ownership of Input and Output

You retain all ownership rights in your Input Data. You own all Outputs generated by the Service based on your Input Data. The Company claims no ownership interest in your Input Data or Outputs.

9.3 Limited License to Company

You grant the Company a limited, non-exclusive, non-transferable license to process your Input Data solely for the purpose of providing the Service to you. This license terminates immediately upon deletion of the applicable data or termination of your account.

9.4 Feedback

If you provide the Company with feedback, suggestions, or recommendations regarding the Service, you grant the Company a perpetual, irrevocable, non-exclusive, royalty-free license to use such feedback for any purpose, without obligation or compensation to you.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE OUTPUTS WILL BE ACCURATE, RELIABLE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT OUTPUTS GENERATED BY THE SERVICE ARE PRODUCED USING ARTIFICIAL INTELLIGENCE TECHNOLOGY AND MAY CONTAIN ERRORS, INACCURACIES, BIASES, HALLUCINATIONS, OR OMISSIONS. ALL OUTPUTS ARE ANALYTICAL OBSERVATIONS ONLY AND MUST BE INDEPENDENTLY VERIFIED BY QUALIFIED PROFESSIONALS BEFORE ANY ACTION IS TAKEN.

THE COMPANY DOES NOT WARRANT THAT THE SERVICE COMPLIES WITH ANY SPECIFIC LEGAL, REGULATORY, OR INDUSTRY STANDARD APPLICABLE TO YOUR PARTICULAR USE CASE, JURISDICTION, OR INDUSTRY. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER YOUR USE OF THE SERVICE COMPLIES WITH ALL APPLICABLE LAWS AND REGULATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, REPUTATION, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

12. Indemnification

You agree to indemnify, defend, and hold harmless Deception TRACER LLC, its officers, directors, members, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service or any Output generated by the Service.
  • Any decision, action, recommendation, or conclusion made by you or any third party based in whole or in part on any Output generated by the Service.
  • Your violation of these Terms or any applicable law.
  • Any claim that your Input Data or use of Outputs infringes, misappropriates, or otherwise violates any third party's rights.
  • Any employment decision, termination, disciplinary action, or adverse personnel action taken based in whole or in part on any Output.
  • Any criminal investigation, arrest, prosecution, or legal proceeding influenced by or based in whole or in part on any Output.
  • Any claim that the use of the Service or its Outputs constituted defamation, false accusation, wrongful termination, discrimination, harassment, or violation of any individual's rights.

13. Use of Outputs and Legal Proceedings

The Company takes no position on whether Outputs generated by the Service may be used as evidence, exhibits, or supporting materials in legal, administrative, regulatory, or judicial proceedings. The admissibility, weight, relevance, and appropriateness of any Output in any proceeding is solely the responsibility of the User.

The Company shall have no obligation to provide expert testimony, technical support, validation, or certification in connection with any legal or administrative proceeding involving Outputs generated by the Service, unless separately agreed in writing.

14. Service Availability and Modifications

We will make commercially reasonable efforts to maintain the availability of the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, unscheduled maintenance, system upgrades, third-party service outages, force majeure events, or other circumstances beyond the Company's reasonable control. The Company reserves the right to modify, update, suspend, or discontinue any aspect of the Service at any time, with or without notice.

15. Term and Termination

These Terms are effective as of the date you first access or use the Service and remain in effect until terminated. You may terminate your account at any time by ceasing all use of the Service and deleting your account. For Subscription Plans, termination does not entitle you to a refund for any prepaid and unused portion of the current billing period unless otherwise required by applicable law. The Company may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.

16. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Michigan.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact the Company at sdinaro@gmail.com and attempt to resolve any dispute informally for a period of at least thirty (30) days.

17.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in the State of Michigan by a single arbitrator. The arbitrator's award shall be final and binding.

17.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.

18. General Provisions

These Terms, together with any applicable Subscription Plan terms and the Company's Privacy Policy, constitute the entire agreement between you and the Company regarding the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Company may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without prior written consent of the Company.
